Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Zinochat website and services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. The Service

Zinochat is a tool that helps you manage customer conversations from your connected channels, such as Facebook Pages, Zalo Official Accounts, and Instagram, from a single place, with an AI assistant that answers from your own business knowledge. The Service connects to these platforms through their official APIs and requires the permissions described in our Privacy Policy.

2. Accounts

To use the Service, you must sign in with a valid account and grant the required permissions for each channel you connect. You are responsible for all activity that occurs under your account and for keeping your login credentials secure. You must notify us immediately of any unauthorized use of your account.

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.

3. Subscriptions and Payment

Some features of the Service require payment. Prices are listed in our pricing section. Unless otherwise stated:

  • New accounts get a free 7-day trial with one channel connection. When the trial ends, the connection stops working until you buy a plan; your data is kept. A plan bought during the trial starts on the day of purchase, and the remaining trial days are not added to it.
  • Fees are charged per channel connection, for periods of 1, 3, 6, or 12 months, and are paid in advance by bank transfer against an invoice in the app. Team members are free. AI credits are bought separately and never expire.
  • We never charge you automatically. We issue a renewal invoice 7 days before your paid period ends; you can change the plan or number of months before paying. The new period starts when we receive the payment.
  • If the renewal invoice is unpaid when the period ends, you get a 24-hour grace period. After that, your projects are locked until you pay; locked days do not count toward the new period.
  • You can stop renewal at any time. Your projects then lock as soon as the paid period ends, with no grace period.
  • Fees already paid are non-refundable, except where required by law.

When your subscription is no longer active, your data may be removed from our systems as described in our Privacy Policy and Data Deletion Instructions.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Violate the Terms of Service, Community Standards, or Platform Policies of Facebook, Zalo, Instagram, or any other connected platform;
  • Send spam, unsolicited messages, or deceptive or misleading content;
  • Infringe the intellectual property, privacy, or other rights of any third party;
  • Interfere with or disrupt the Service, or attempt to gain unauthorized access to the Service or related systems;
  • Upload or distribute viruses, malware, or any other code that may harm the Service or other users;
  • Reverse engineer, decompile, or otherwise attempt to obtain the source code of the Service;
  • Use bots, scrapers, or other automated means to access the Service, or send abnormal amounts of traffic intended to overload our systems;
  • Circumvent the Service’s limits, for example by creating multiple accounts to reuse the free trial or by manipulating AI credits;
  • Exploit bugs or security vulnerabilities in the Service. If you find a bug or vulnerability, please report it to us privately at contact@zinochat.org;
  • Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent.

If we reasonably believe you have violated these Terms, we may unilaterally suspend or permanently close your account immediately and without notice. If your account is closed for a violation, you will not receive a refund of any fees paid, including any remaining subscription time and unused AI credits.

5. Your Content

You retain all rights to the content you manage through the Service, including your posts, comments, messages, and the documents you upload to your knowledge base. By using the Service, you grant us a limited license to access, store, and process this content solely for the purpose of providing and improving the Service, as described in our Privacy Policy.

You are solely responsible for the content you publish or send through the Service, including replies generated by the AI assistant on your behalf, and for ensuring you have the necessary rights and permissions to do so.

6. Third-Party Services

The Service depends on third-party platforms, most notably the Facebook Platform, Zalo, and Instagram. We do not control these platforms and are not responsible for their availability, changes to their APIs or policies, or any actions they take with respect to your account. Changes to third-party platforms may affect or interrupt the functionality of the Service.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by Zinochat and protected by applicable intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights in the Service are granted to you.

8. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access to it at any time, with or without notice, if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including disclaimers, limitations of liability, and governing law.

9. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that replies generated by the AI assistant will be accurate or complete.

10. Limitation of Liability

To the maximum extent permitted by law, Zinochat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. In no event shall our total liability exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date above. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
